1. Acceptance of these terms
These Terms & Conditions govern your access to and use of AMI Group websites, software platforms, reports, demonstrations and related services, including Anolix and ImportMargin.
By accessing or using an AMI Group service, you confirm that you have read, understood and agreed to these terms. If you are using a service on behalf of an organisation, you confirm that you have authority to bind that organisation.
2. Our services
AMI Group develops business software for fraud intelligence, anomaly detection, import planning, reporting, business intelligence and operational workflows.
Product functionality, availability and eligibility may change as services are developed. Features described as preview, beta, early access or coming soon may be changed, suspended or withdrawn before general release.
3. Accounts and authorised access
Where an account is required, you must provide accurate information, keep login details secure and promptly notify us of suspected unauthorised access.
You are responsible for activity carried out through your account and for ensuring that users within your organisation only access information and functions they are authorised to use.
4. Acceptable use
You must not use our services for unlawful, fraudulent, abusive or harmful activity; attempt to bypass security controls; interfere with service operation; upload malicious code; scrape restricted data; reverse engineer protected components except where law expressly permits; or use the services to infringe another person’s rights.
You must only upload or process data that you are legally entitled to use and must obtain any notices, permissions or consents required for that data.
5. Business decisions and professional advice
Our platforms provide analytical tools, estimates, alerts, indicators and reports to support human decision-making. Outputs may depend on the quality, completeness and accuracy of the information supplied.
AMI Group services do not replace legal, accounting, tax, customs, financial, compliance or other regulated professional advice. You remain responsible for reviewing outputs and making final business decisions.
6. Fees, subscriptions and payment
Where a service is paid, applicable fees, billing frequency, taxes, usage limits and cancellation terms will be stated in the relevant order form, subscription page, proposal or written agreement.
Unless otherwise stated, fees already due are non-refundable. We may suspend paid services where an undisputed amount remains overdue after reasonable notice.
7. Intellectual property
AMI Group and its licensors retain all rights in the websites, software, product names, interfaces, designs, documentation, models, reports, trademarks and other materials we provide, except for customer-owned data.
Subject to payment and these terms, we grant authorised users a limited, non-exclusive, non-transferable right to use the relevant service for its intended internal business purpose.
8. Customer data and privacy
You retain ownership of data you submit to our services. You grant AMI Group the limited rights necessary to host, process, secure, analyse and display that data in order to provide and improve the contracted service.
Personal information is handled as described in our Privacy Policy and any applicable data-processing agreement. You remain responsible for the legality and accuracy of data submitted by you or your users.
9. Confidentiality
Each party must protect non-public information received from the other party and use it only for the purpose for which it was disclosed. This obligation does not apply to information that is public without breach, independently developed, lawfully received from another source or required to be disclosed by law.
10. Third-party services
Our services may connect to or depend on third-party hosting, communication, payment, analytics, identity, exchange-rate, customs, data or other providers. Third-party services are governed by their own terms and may change independently of AMI Group.
11. Availability and changes
We aim to provide reliable services but do not guarantee uninterrupted or error-free availability. Maintenance, security work, internet failures, supplier outages or events outside our reasonable control may affect access.
We may update services to improve security, performance, compliance or functionality. Where a material change significantly affects a paid service, we will provide reasonable notice where practicable.
12. Disclaimers and limitation of liability
To the extent permitted by law, services are provided on an as-available basis and we exclude warranties that are not expressly stated in a written agreement.
AMI Group is not responsible for indirect, incidental, special or consequential loss, loss of profit, loss of opportunity, reputational loss or loss caused by inaccurate, incomplete or unlawfully supplied customer data. Any liability cap stated in a signed agreement will apply; otherwise, liability will be limited to the fees paid for the affected service during the preceding six months, to the extent permitted by law.
Nothing in these terms excludes liability that cannot legally be excluded or limited.
13. Suspension and termination
We may suspend or terminate access where there is a serious security risk, unlawful use, material breach, non-payment or conduct likely to harm AMI Group, another customer or a third party.
On termination, your right to use the service ends. Provisions concerning payment, intellectual property, confidentiality, disclaimers, liability and dispute resolution continue where their nature requires it.
14. Governing law and disputes
Unless a separate written agreement states otherwise, these terms are governed by the laws of Zimbabwe. The parties should first attempt to resolve any dispute through good-faith discussions before starting formal proceedings.
15. Changes to these terms
We may update these terms to reflect changes in our services, business practices or legal obligations. The updated version will be posted on this page with a revised effective date. Continued use after an update means the revised terms apply, subject to applicable law.
